ក្រុមហ៊ុនពាណិជ្ជកម្មនេះមានទម្រង់ជាក្រុមហ៊ុនឯកជនទទួលខុសត្រូវមានកម្រិតដែលបានបង្កេីតឡេីងនាដេីមឆ្នាំ២០១៥ ដោយមានសមាជិកភាគហ៊ុន ចំនួន៧រូបដែលមានខ្មែរ៥រូបនិងបរទេស២រូប។ សមាជិកភាគហ៊ុនទាំង៧នេះក៏ជាអភិបាលនៃក្រុមហ៊ុនផងដែរ។ ក្រុមហ៊ុនមានសញ្ជាតិខ្មែរ ហេីយការចាប់ផ្តេីមដំបូងក្រុមហ៊ុនត្រូវបានដឹកនាំដោយប្រធានក្រុមប្រឹក្សាភិបាលជាជនជាតិខ្មែរ។ តែបន្ទាប់ពីដំណេីរការបានរយៈពេលជាង១ឆ្នាំ ក្រុមហ៊ុនចាប់ផ្តេីមមានបញ្ហាផ្ទៃក្នុង មិនទុកចិត្ត និងសម្រេចផ្លាស់ប្តូរប្រធានក្រុមប្រឹក្សាភិបាលថ្មីជាជនជាតិបរទេសវិញ។ ក្រោយពីឡេីងកាន់ដំណែងនាខែសីហា-២០១៦ ប្រធានក្រុមប្រឹក្សាភិបាលថ្មីបានសម្រេចចិត្តជាអត្តនោម័តលេីកិច្ចការក្រុមហ៊ុនទាំងមូលដោយមិនខ្វល់ខ្វាយពីសម្លេងរបស់អភិបាលនិងសមាជិកភាគហ៊ុនផ្សេងទៀតឡេីយ។ កិច្ចការទាំងឡាយដែលបានធ្វេីមានដូចជា៖ កែប្រែកិច្ចសន្យាអាជីវកម្មរបស់ក្រុមហ៊ុនជាមួយអតិថិជន តែងតាំងបុគ្គលិកក្រុមហ៊ុនតាមទំនេីងចិត្ត ផ្លាស់ប្តូរត្រាក្រុមហ៊ុនថ្មី បង្កើតគណនីក្រុមហ៊ុនថ្មី មិនបិទបញ្ជីគណនេយ្យនិងរៀបចំតារាងតុល្យការគណនីលទ្ធផលប្រចាំឆ្នាំ និងមិនរៀបចំមហាសន្និបាតម្ចាស់ភាគហ៊ុនប្រចាំឆ្នាំ ។ ល។

This Commercial Company was formed as the Private Limited Company in the earlier year 2015 by having 7 shareholders that had 5 Khmer shareholders and 2 Expat shareholders. Those 7 shareholders were also as the company director. The Company’s nationality was Khmer, and it was leaded by a chief of the Board of Directors as Khmer nationality in the first time. But after its operation for more than a year, the company had conflicts between them, and they had decided to change the new leader to be the expat director. After appointed, in August 2016 the new leader decided by himself to change an important task of the company without the company decision joined from the other directors and shareholders. Those tasks were such as an amendment of the company business contract with its client, an appointment of the new staff, the company seal changing, setting up the company business accounts, unpreparing an annual General Assembly of Shareholders and the company’s Finance Statements.

ដោយមិនអាចពិភាក្សា និងសម្រេចដំណោះស្រាយវិវាទជាមួយគ្នាបាន នៅដេីមឆ្នាំ២០១៧ សមាជិកភាគហ៊ុនជាជនជាតិខ្មែរចំនួន៤នាក់ដែលកាន់កាប់ភាគហ៊ុនលេីសពី៥១% បានសម្រេចដាក់ពាក្យបណ្តឹងចំពោះប្រធានក្រុមប្រឹក្សាភិបាលនិងបក្ខពួកចូលអយ្យការអមសាលាដំបូងខេត្តកំពតពី«បទរំលោភលេីទំនុកចិត្តពិសេសដោយអភិបាល និងបទក្លែងត្រា ប្រេីប្រាស់ត្រាក្លែង» ផ្អែកទៅលេីក្រមព្រហ្មទណ្ឌ ច្បាប់ស្តីពីសហគ្រាសពាណិជ្ជកម្ម និងច្បាប់ស្តីពីវិធានពាណិជ្ជកម្មនិងបញ្ជីពាណិជ្ជកម្ម នៃព្រះរាជាណាចក្រកម្ពុជា។

By unable to debate and unresolved among them together, in the earlier year 2017, the 4 Khmer shareholders holding a number of shares more than 51% submitted a lawsuit to a Prosecutor office attached the Kampot Court for a Chairman of the board and his associate for a criminal case as “Breach of Special Trust by a Governor and Counterfeiting Seal and Use of Counterfeited Seal” according to the Criminal Code, Law on Commercial Enterprises and Law on Commercial Rules and Registers of the Kingdom of Cambodia.
